1. About these Terms
These Terms & Conditions of Sale (“Terms”) apply to all sales made through www.indigafurniture.com (“Website”).
The Website is operated by Indiga Furniture & Interiors Ltd, a company registered in England & Wales (company number 14117722 ) (“Company”, “we”, “us”, “our”).
These Terms form the entire agreement between you and us for the purchase of goods from this Website.
By placing an order on this Website, you agree to be bound by these Terms.
2. Eligibility
By placing an order, you confirm that:
- you are at least 18 years old, and
- you are legally capable of entering into a binding contract.
2. Orders & contract formation
2.1 All orders placed through the Website constitute an offer to purchase Goods from us.
2.2 A binding contract is formed only when we issue a written order confirmation email.
2.3 We reserve the right to refuse or cancel any order prior to confirmation, including where pricing errors occur, Goods are unavailable, or delivery information is incomplete.
3. Goods & descriptions
3.1 Product descriptions, images, measurements, and specifications are provided for guidance only.
3.2 Minor variations in colour, texture, dimensions, or finish do not constitute defects.
3.3 Display images are representative and may differ slightly from the delivered Goods.
4. Made-to-order & bespoke goods
4.1 Certain Goods are made to order, customised, or produced to your specifications (“Made-to-Order Goods”).
4.2 Made-to-Order Goods cannot be cancelled, amended, or returned once production has commenced, except where they are faulty or not as described.
4.3 This does not affect your statutory rights under the Consumer Rights Act 2015.
5. Prices & payment
5.1 All prices are shown in GBP (£).
5.2 Full payment is required at the time of order unless otherwise agreed in writing.
5.3 We reserve the right to correct pricing or typographical errors at any time prior to order confirmation.
5.4 Title to the Goods remains with us until payment has been received in full, although risk passes in accordance with Section 7.
6. Delivery
6.1 Delivery dates and lead times are estimates only and are not guaranteed.
6.2 Delivery is deemed complete when the Goods are delivered to the address specified in your order.
7. Access, failed delivery & storage
7.1 You are responsible for ensuring that the delivery address has safe and adequate access, including suitable doorways, staircases, lifts, corridors, and clear entry routes.
7.2 You must ensure that the Goods can be delivered to the intended room of choice without obstruction.
7.3 If delivery cannot be completed due to circumstances within your control, including but not limited to:
- insufficient access dimensions,
- restricted or unsuitable stairwells, lifts, or doorways,
- inability to deliver to the room of choice,
- absence of the recipient, or
- refusal to accept delivery,
the delivery shall be deemed a failed delivery.
7.4 In the event of a failed delivery, we reserve the right to charge reasonable redelivery and/or storage costs, which will be notified to you before any further delivery is arranged.
7.5 Where a delivery has been deemed a failed delivery in accordance with these Terms and you subsequently cancel your order, we reserve the right to deduct the reasonable costs of the failed delivery and any associated storage costs from any refund due to you. Such costs will be itemised on request.
8. Risk, inspection & acceptance
8.1 Risk in the Goods passes to you upon delivery to the specified address.
8.2 You must inspect the Goods immediately upon delivery.
8.3 Any damage, defects, or shortages must be reported to us within 48 hours of delivery.
8.4 Failure to notify us within this timeframe may affect your entitlement to remedies.
9. Natural materials
9.1 Many of our Goods are made using natural materials such as wood, stone, leather, and fabric.
9.2 Natural variations in colour, grain, texture, markings, and finish are inherent characteristics and do not constitute defects.
10. Cancellation & returns
10.1 For Goods that are not Made-to-Order Goods, you may cancel your order within 14 days of delivery in accordance with the Consumer Contracts Regulations.
10.2 Returned Goods must be unused, undamaged, and in their original packaging.
10.3 You are responsible for return costs unless the Goods are faulty or incorrect.
11. Liability
11.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any matter which cannot be excluded by law.
11.2 Subject to this, our total liability arising out of or in connection with any order shall not exceed the price paid for the Goods.
11.3 We shall not be liable for indirect or consequential losses, including loss of use, loss of enjoyment, or loss of profit.
12. Force majeure
We shall not be liable for delay or failure to perform our obligations due to events beyond our reasonable control, including supply chain disruption, transport delays, strikes, or acts of God.
13. Intellectual property
All content on the Website, including text, images, designs, and logos, remains our property or that of our licensors and may not be used without our prior written consent.
14. Governing law & jurisdiction
These Terms are governed by the laws of England & Wales.
The courts of England & Wales shall have exclusive jurisdiction.
